Terms of service

These terms apply to services sold under the Swiftexa brand by Sihrsalt Digital Solutions Private Limited (“we”, “us”). By paying for or using our services you agree to them. A signed service agreement, where we have one with you, takes precedence over these terms.

1. Our services

We set up and configure Claude, an AI assistant made by Anthropic, for your business, and provide optional monthly care, as described on our packages section and in your proposal. Anything not listed there is quoted separately before work starts.

2. Fees and payment

• Fees are in Indian rupees and exclude GST at 18% unless stated.
• Setup is payable 50% in advance and 50% at handover, unless a package is shown as full payment.
• Monthly care is payable in advance by the 5th of each month.
• Third-party costs (Claude subscription, WhatsApp Business API, other software) are paid by you directly to those providers.
• Overdue amounts carry interest at 18% per annum from the due date.
• If you deduct TDS, please deposit it on time and issue Form 16A.
• Online payments are processed by our payment partner; we do not see or store your card details.

3. Your accounts and access

All accounts are opened in your name and paid by you. You grant us access through screen-share or delegated access that you can withdraw at any time. We do not ask for or store your passwords, OTPs or digital signatures.

4. AI outputs

Claude is an AI system and can make mistakes. You are responsible for reviewing and approving any message, quote, invoice or document before it is sent or relied on. We configure your setup so that customer-facing messages wait for your approval, and so that Claude does not make payments or file anything with authorities. We do not give legal, tax, financial or medical advice through the AI setup.

5. Ownership

Business profiles, skills and workflows we create for you belong to you once paid in full. We keep the right to reuse our general templates, methods and know-how.

6. The 8-hour promise

For the AI Back Office package: if at day 30 after handover the hours saved per week, measured against the day-1 hours log we both agreed, are below 8, we waive your next month's care fee. The promise applies if you completed both training sessions, kept the agreed workflows switched on, and gave access and information on time. This is the only remedy under the promise.

7. Liability

Our total liability is limited to the fees you paid us in the 3 months before the claim. We are not liable for indirect or consequential loss, or for outages or changes in third-party services including Anthropic, Google, Microsoft and Meta.

8. Indemnity

You agree to indemnify us against losses, penalties and reasonable legal costs arising from personal data you make available without a lawful basis or consent, content you approve or send, or your breach of applicable law, including WhatsApp Business policies and TRAI rules. We indemnify you against third-party claims that our own templates infringe intellectual property rights.

9. Your customers' data

When we process your customers' data to deliver the service, you are the Data Fiduciary and we act as your Data Processor, on your instructions only, as set out in our privacy policy and service agreement.

10. Termination

Either party may end the service for a material breach not fixed within 15 days of written notice. We may pause the service while any invoice is more than 30 days overdue. Monthly care can be cancelled with 30 days' notice.

11. Force majeure

Neither party is liable for delays caused by events beyond its reasonable control, including outages of third-party services, power or internet failure, or government action.

12. Governing law

These terms are governed by the laws of India. Courts at Thane, Maharashtra have jurisdiction.
